HAZi Pay Center Terms of Service

Thank you for using HAZi Pay Center (or "Platform") provided by HAZi Technology FZ-LLC ("HAZi" or "we"). This HAZi Pay Center Terms of Service (hereinafter referred to as "Terms") is entered into by HAZi and you.

I. About the Terms

1. The Terms manages the relationship between you (or "user") and us and serves as an agreement between you and us for the provision and use of HAZi Pay Center services.

2. Please read carefully and fully understand the Terms before using HAZi Pay Center services. If you have any question about the Terms or disagree with any of these terms, please do not take the next step. By clicking or checking on the page or confirming by other means, you accept to be bound by the Terms.

3. Our services are not intended for children. Children are not allowed to use HAZi Pay Center services for any purpose. If you, as the guardian, find that a child under your guardianship has used HAZi Pay Center services, please contact us promptly to have it removed. Here, a child refers to a user under the age of 13, or if the user is from the country/area listed in the table below, the relevant minimum age of the user is listed as follows.

*Users under the minimum age in that country/area must obtain consent from their parents/guardians before using the Platform.

**Users in the European Economic Area, the UK and Switzerland under the age of 16 can use the Platform provided they obtain the consent from their parents/guardians prior to using the Platform.

***For users located in the United Arab Emirates, the minimum age to be legally consented to commercial transactions is 21 (according to the Moslem calendar). However, the underage user between the ages of 18 and 21 may obtain a court order allowing him/her to enter into specific commercial transactions. In addition, the underage user over the age of 7 can engage in commercial transactions with the approval of their guardians.

II. About HAZi Pay Center

1. HAZi Pay Center is an aggregation platform we set up to support the third-party payment for various HAZi products, providing users with convenient third-party recharge services.

2. We provide users in different countries and regions with recharge pages that match local payment methods for popular HAZi applications. You can choose from a variety of payment methods, including but not limited to debit/credit card payments, online bank transfers, offline payments, e-wallets, gift cards, etc.

3. Users can register and log in accounts, make payments and check the order information through the Platform. Order information includes date, item, quantity, price, order number, payment method, recharge application and order status.

4. In order to provide you with HAZi Pay Center services, we may collect and use your personal information and related data. We will process your personal information in accordance with the purposes, scope, and methods set forth in our Privacy and Cookie Policy.

III. Your Account

A. Registration and Use

1. In order to use HAZi Pay Center services, you will need to create an account with us ("your account"). You can choose either email registration or to login with your Facebook account, and complete the registration/login by actively ticking the box to confirm that your fully understand and agree to the Terms and our Privacy and Cookie Policy. Your account is your personal account and you should not give, lend, transfer or otherwise allow any other person to access or use your account. If your account, password or other information is fraudulently used, stolen or illegally used due to your reasons, you shall be responsible for the consequences arising therefrom.

2. When you set anonymity, avatar, signature, remarks and other information, please abide by relevant laws and regulations, public order and morals and social morality, and ensure that you do not infringe the legitimate rights and interests of any third party. If we find any violation of the aforementioned matters, we may delete or block your relevant information.

3. Your user identifiers (such as user ID) assigned by the Platform when you are using our services remain our property and we have the right to disable, recycle and reuse these identifiers once you or we terminate or deactivate your account for any reason.

4. You are responsible for: (i) protecting the information of your account, including any password used to access your account and our services, and (ii) using our services under your account. If you know or suspect that your account or password has been compromised, you should promptly notify us via our technical support mailbox at service@HAZipay.live. Unless we receive and confirm notification from you that your account and/or its password has been compromised, we will consider you to be using your account.

5. You agree to be solely responsible (to us and others) for activities that occur under your account.

6. We reserve the right to disable your user account at any time, including your failure to comply with any provision of the Terms under our reasonable advice, or your activity in our discretion, will or may cause harm, damage, violation or infringement of any third-party rights, or violation of any applicable laws or regulations.

B. Cancellation

1. If you wish to terminate the use of HAZi Pay Center services, you can initiate account cancellation by sending an email to amfunstaff@gmail.com, and we will respond to your cancellation request on the basis of verification of your identity

8. After your account is cancelled, you will no longer be able to use HAZi Pay Center services; payment functions, transaction records and other information will not be recovered; and the identifiers and rights associated with your account will be void, terminated or invalidated.

IV. User's Code of Conduct

1. You agree not to engage in any of the following prohibited activities in connection with or related to our services, or to allow anyone to do the same on our services using your account:

(1) use or attempt to use other user's accounts, services or systems without our authorization, or create false identities on the Platform;

(2) interfere or attempt to interfere with the Platform, including but not limited to manipulating its normal operations; or

(3) engage in any other matter that violates applicable laws and regulations or the provisions of the Terms, or infringes the legitimate rights and interests of any third party through your account or using our services.

2. If we find that your account has security risks or suspected improper operations, we may take measures to suspend services, cancel transactions, or disable accounts promptly to protect your account security. In this case, we may require you to provide relevant information for identity verification to ensure that we can continue to provide services to you given that your account is secure.

3. You acknowledge that the order records and transaction data under your account are subject to our system records. If you have any objection to this, please contact us in time, and we will actively verify it based on the relevant evidence you provide.

4. We will send you notifications, such as the status of your order, or prompt you to perform related operations by way of in-site letters, emails, etc., so please pay attention to them.

5. You need to bear the risks (if any) of currency depreciation and exchange rate fluctuations during your use of our services. The specific fluctuations are subject to the payment method you choose.

6. You shall not use HAZi Pay Center services to conduct cash-out, false transactions, money laundering, etc., and shall cooperate with HAZi in the relevant investigations. If you refuse to cooperate with the relevant investigations or we believe that you have or are suspected of false transactions, money laundering, cash-out or any other illegal activities, fraud or breach of good faith, or violation of the Terms, HAZi has the right to suspend or terminate the provision of services to you, and close your account. In addition, you may also have to bear the legal liabilities accordingly.

V. Intellectual Property

1. HAZi owns and/or has legitimate interests in all intellectual properties included in the Platform, including but not limited to trademarks, logos, page designs, text and graphics, pictures, videos, music, sounds and combinations of the foregoing, software and related source code, algorithms, methods and technologies. Users shall not copy, modify, adapt, translate, reverse engineer, disassemble, decompile or provide to any third party such intellectual properties or any derivative works based thereon without the permission of HAZi.

2. In addition to the above, you agree to use HAZi Pay Center services in a correct and reasonable manner, and you shall not:

(1) remove, modify or obscure any copyright, trademark, or other proprietary notices, marks or instructions found in or on the Platform;

(2) copy, publish, sell, lend or lease the software or other intellectual achievements of HAZi Pay Center, in whole or in part; or

(3) develop any plug-ins, external component compatibilities or interconnect elements or other technical interoperability platforms, unless expressly permitted in advance by HAZi (in which case you will have to be subject to additional terms and conditions).

VI. Compensation

You shall be solely responsible for any claims, losses and expenses (including but not limited to attorney's fees and other expenses) arising from your breach of applicable laws and regulations and the Terms (including but not limited to breach of your obligations, representations and warranties). In this case, you agree to defend, indemnify and hold harmless all claims, liabilities, costs, damages, losses and expenses (including but not limited to attorney's fees and other expenses) for us, our parents, subsidiaries and affiliates and their respective officers, directors, employees, agents and consultants.

VII. Disclaimer

1. No content in this section affects the legal rights that you cannot agree to change or waive as agreed in the contract, and you shall always use them as a consumer.

2. Our services are provided "as they are". We make no warranties or representations in this regard. In particular, we do not represent or guarantee that:

(1) your use of the services will meet your requirements;

(2) your use of the services will be uninterrupted, timely, secure or error free;

(3) any information you receive as a result of your use of the services is accurate or reliable; or

(4) defects in the operation or functionality of any software provided to you as part of the services will be corrected.

3. No conditions, warranties or other terms (including any implied terms relating to satisfactory quality, fitness for purpose or compliance with description) shall apply to the service except as expressly set out in the Terms. We may change, suspend, withdraw or limit the availability of all or any part of our Platform at any time without notice for business and operation purposes.

VIII. Scope of Liability

1. No content in this section excludes or limits our liability for damages that may not be legally excluded or limited by applicable law. This includes death or personal injury and fraud or fraudulent representations due to our negligence or the negligence of our employees, agents or subcontractors.

2. To the maximum extent permitted by applicable law, we do not assume any responsibility to you for:

(1) any indirect, punitive, incidental, special or consequential damages;

(2) loss of revenue, profit, goodwill or content;

(3) loss of business or opportunity; and

(4) any loss of data you suffer.

3. For the purpose of troubleshooting, technical improvement, service optimization, etc., HAZi may update, maintain or upgrade the Platform on a regular or irregular basis. You understand and agree that if the service of the Platform is interrupted in this regard, HAZi does not need to take any responsibility for this, but HAZi should give notice in advance whenever possible.

4. To the maximum extent permitted by applicable laws, HAZi is not responsible for the interruption or obstruction of platform services, personal injury or property damage caused by the following circumstances:

(1) destruction caused by computer viruses, trojan or other malicious programs, and hacker attacks;

(2) failure of systems, hardware and communication lines;

(3) improper operation by users;

(4) use of the Platform services in a way not authorized by HAZi;

(5) out-of-date programs, aging equipment and/or compatibility issues; and

(6) other circumstances that are not attributable to HAZi or beyond HAZi's control or reasonably foreseeable.

5. To the maximum extent permitted by applicable laws, any disputes arising from your use of the services with any third party (including but not limited to third-party payment institutions, advertising service providers, etc. selected by you) shall be resolved through negotiation between you and the third party. You irrevocably release us from all known and unknown claims, demands and damages (both actual and consequential) arising out of such disputes.

IX. Updates and Changes to Software and Services

HAZi may, in our sole discretion, make updates and changes to the HAZi Pay Center services. If you continue to use our Platform after the update or change, it is deemed that you accept and allow us to provide you with the updated services.

X. Fees and Payments

1. You can complete the order payment through our Platform. You understand and agree that HAZi is not responsible for any transactions processed by third parties or any payments to third parties. You agree to bear all costs and taxes associated with the Platform and that all prices and availability of the Platform may change from time to time.

2. Unless otherwise provided in the Terms or required by applicable laws in your jurisdiction, in any event, any order that has been paid are not refundable (no matter the virtual goods and virtual currency purchased have been used or not).

3. Please note that telecom charges and other charges may be incurred when you are using the Platform. You are responsible for all such fees, charges and expenses.

XI. Termination of Services

1. We reserve the right to temporarily or permanently suspend or terminate your account or restrict your access to some or all of the services with or without notice to you, including but not limited to:

(1) we reasonably believe that you have violated the Terms, or we reasonably believe on objective grounds that you will violate the Terms, including any ancillary agreements, policies or guidelines and applicable laws or regulations;

(2) we, in our reasonable discretion, believe that your activities on your account may cause damage to us or our services, or infringe the intellectual property or other legitimate rights and interests of any third party;

(3) for responding to requests from law enforcement or other government agencies under effective legal procedures;

(4) due to unexpected technical or security issues; or

(5) your account is inactive for a long time.

2. If we close permanently or terminate your account, we will inform you in advance, so that you have the time to access and save your information and content, unless we have reason to believe that your continued access to your account will harm us or our services or any third party's legitimate rights and interests, or violate the requirements of law enforcement or other government agencies.

XII. Applicable Law and Dispute Resolution

1. Unless otherwise provided by the applicable laws and regulations of your jurisdiction, the Terms and any dispute or claim arising out of or in connection with them shall be construed and governed by the laws of the United Arab Emirates.

2. Any dispute arising out of or in connection with the Terms, including any issues relating to the existence, validity or termination of the Terms, shall be arbitrated by Dubai International Arbitration Center ("DIAC") in accordance with such arbitration procedures and ultimately resolved by arbitration. The arbitration rules of DIAC currently in force are deemed to be incorporated by reference into the Terms. The arbitration shall take place in Dubai. The arbitration tribunal shall consist of three (3) arbitrators. The language of arbitration shall be English.

XIII. General

1. You agree that no claim shall be made against us for any statement not expressly provided for in the Terms. The invalidity of any provision (or part of any provision) of the Terms does not affect the validity or enforceability of any other provisions (or the remainder of such provision). If a court finds that we are unable to enforce any part of the Terms, we may, to the extent that applicable laws and regulations are enforceable, replace such terms with similar terms without changing the remaining provisions of the Terms. No delay in enforcing any provision of the Terms shall be construed as a waiver of any right under such provision. Any rights and obligations under the Terms shall, by their nature, continue in force and effect, including but not limited to any obligation of the parties with respect to their liability or compensation (if any), which shall survive the termination or expiration of the Terms.

2. No person other than you and us (subject to any applicable laws and regulations) has the right to enforce the Terms against anyone, and you may not delegate, assign or transfer the Terms or any rights or obligations under the Terms without our prior consent. HAZi is free to assign, transfer or subcontract the Terms or all or part of our rights and obligations under the Terms without your prior consent or notice. You acknowledge and agree that in no event shall our partners or affiliates assume any liability under the Terms.
